Commercial License for CORPORA from CSLU Portland cellular v1.3





  1. Licensor:  Oregon Health & Science University (OHSU), 0690 SW Bancroft Street, Mailcode L106TT, Portland, OR 97239,, 503-494-8200.

  2. Speech & Language Corpora: (OHSU #0681). Licensee will receive one DVD containing speech, video and text files for each corpus.

  3. Speech and language technology systems: hardware and/or software including, but not limited to, systems for speech generation or speech recognition.


  1. Grant of License:  Subject to the terms and conditions of this license, Licensor grants to Licensee a non-exclusive, non-sub licensable, non-transferable license to use the Corpora provided herein and any associated documentation.  Licensor is not obligated to provide upgrades to the Corpora or technical support.

  2. Ownership of Corpora:  This License gives the Licensee limited use of the Corpora. OHSU represents that it is the sole owner of all right, title and interest in and to the Corpora, and that it has the sole right to grant licenses to the Corpora. This License is not a sale of the Corpora and Licensor retains all title to all rights and interests in the Corpora.  The Corpora is protected by U.S. Copyright laws, international treaty provisions and applicable laws of the country in which it is being used.

  3. Permitted Uses:  Licensee may use the Corpora for internal linguistic education, research, and in development activities, training, or testing of speech and language technology systems. Licensee may make copies of the Corpora as reasonably necessary for licensed use. Licensee may sell and distribute speech and language technology systems developed, trained, or tested using the Corpora.

  4. Non-permitted Uses:  a) Licensee may not use the Corpora at any other location than that specified above b) Rent, lease, lend, sell, transmit or otherwise distribute or dispose of the Corpora temporarily or permanently without written consent of Licensor, or to include the Corpora or any part of the Corpora in language technology systems for commercial sale or external use c) Modify or create derivative works based on the Corpora. Derivative work means work based upon the Corpora where the Corpora have been recast, transformed, adapted or revised d) Creating or permitting third parties to create derivative works based on the Corpora e) Removing, modifying, altering or obscuring the copyright notices or any other proprietary notices contained in or on the Corpora.

  5. License Fee: Licensee agrees to pay OHSU a non-creditable, non-refundable license issuance fee.

  6. Term and Termination:  This License shall commence on the date of delivery of the Corpora to Licensee and shall terminate automatically upon breach of this License by Licensee. Upon termination, Licensee shall discontinue all use of Corpora and return to OHSU or destroy original within 30 days of termination.

  7. Licensor represents and certifies that subject to the limitations otherwise described in this agreement, that it has the lawful right to grant the license set forth in this Agreement.

  8. EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6, THE PARTIES ACKNOWLEDGE AND AGREE THAT Licensor, its Trustees, Directors, Officers, Employees, and Affiliates make no representations and extend no warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement and the absence of latent or other defects, whether or not discoverable.  Nothing in the License Agreement shall be construed as a representation made or warranty given by Licensor that the practice by Licensee of the license granted hereunder shall not infringe the patent rights or copyright rights of any third party.  In no event shall Licensor, its Trustees, Directors, Officers, Employees and Affiliates be liable for incidental or consequential damages of any kind, including economic damage or injury to property and lost profits, regardless of whether Licensor shall be advised, shall have other reason to know, or in fact shall know of the possibility.  LICENSEE ASSUMES THE ENTIRE RISK ASSOCIATED WITH LICENSEE’S USE OF THE CORPORA. Licensee’s liability for damages, if any, other than for breach of intellectual property shall not exceed total amount of fees paid under this license.

  9. This License is a complete and exclusive statement of the terms and conditions of the agreement between Licensee and Licensor.
